1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the website localnative.space ("Website", "Platform", "Service"), operated by mLab, a company registered in Dublin, Ireland ("Company", "we", "us", "our").

By accessing or using the Website, whether as a visitor seeking professional services ("Client", "User"), a professional listed on the Platform ("Specialist", "Provider"), or any other capacity, you agree to be bound by these Terms. If you do not agree, you must not use the Website.

We reserve the right to modify these Terms at any time. Continued use of the Website after changes constitutes acceptance of the modified Terms. Material changes will be communicated via the Website or email where applicable.

2. Description of Service

LocalNative.space is an online directory platform that connects individuals ("Clients") with professional service providers ("Specialists") who offer services in specific languages. The Platform covers categories including, but not limited to, psychotherapists, doctors, dentists, tutors, and translators.

The Platform is an information directory and communication facilitator only. We do not provide, endorse, guarantee, or assume responsibility for any professional services listed on, advertised on, or obtained through the Platform.

3. Specialist Profiles and Public Data Sources

3.1 Source of Specialist Data

Specialist profiles on the Platform may be created from the following sources:

(a) Publicly available professional registries and directories, including but not limited to IACP (Irish Association for Counselling and Psychotherapy), ICP (Irish Council for Psychotherapy), BACP (British Association for Counselling and Psychotherapy), and other publicly accessible professional bodies, government registries, and open datasets.

(b) Self-registrationby Specialists through the Platform's Provider Portal.

3.2 Lawful Basis for Processing Public Data

The collection and display of publicly available professional data is conducted under the legitimate interest legal basis (Article 6(1)(f) GDPR). We have conducted a legitimate interest assessment and determined that:

The data was originally made public by the Specialists themselves or by professional bodies for the express purpose of enabling clients to find and contact them.
The processing serves the public interest in facilitating access to professional services, particularly for expatriate and multilingual communities.
The processing does not override the fundamental rights of the data subjects, as the data is limited to professional (not private) information.

3.3 No Infringement of Rights

The display of publicly sourced professional data on this Platform does not constitute:

An infringement of intellectual property rights, as we do not reproduce copyrighted content but rather reference factual professional data.
A violation of data protection law, as the data is publicly available, professionally relevant, and processed under legitimate interest with appropriate safeguards.
An endorsement, employment relationship, or partnership between the Company and any listed Specialist.

3.4 Specialist Rights Regarding Their Profile

Any Specialist whose data appears on the Platform has the right to:

(a) Claim and manage their profile — by registering through the Provider Portal to update, enrich, or correct their listed information at no cost.

(b) Request removal — by contacting us at contact@localnative.space. We will process removal requests within 72 hours.

(d) Opt out of automated communications — by unsubscribing from any promotional or lead-notification emails.

3.5 Attribution

Profiles sourced from public registries include attribution to the original source. We make reasonable efforts to keep sourced data accurate but cannot guarantee real-time accuracy.

4. User Accounts

4.1 Specialist Accounts (Provider Portal)

Specialists may create an account to claim and manage their profile. By creating an account, you represent and warrant that:

You are a qualified professional in your stated field of practice.
All information you provide is truthful, accurate, and up to date.
You hold all necessary licences, certifications, and registrations required by applicable law to practise in your stated jurisdiction.
You will maintain the confidentiality of your login credentials.

4.2 Account Termination

We reserve the right to suspend or terminate any account at our sole discretion, without notice, for:

Violation of these Terms.
Provision of false, misleading, or fraudulent information.
Conduct that we determine to be harmful to other users, Specialists, or the Platform.
Extended inactivity (12+ months).

5. Client Use of the Platform

5.1 Information Purposes Only

All information on the Platform is provided for general informational and directory purposes only. It does not constitute:

Medical, psychological, therapeutic, legal, financial, educational, or any other professional advice.
A recommendation, referral, or endorsement of any specific Specialist.
A guarantee of the quality, safety, efficacy, or legality of any Specialist's services.

5.2 Client Responsibility

Clients are solely responsible for:

Evaluating and selecting a Specialist based on their own judgment and due diligence.
Verifying the credentials, qualifications, licences, and insurance of any Specialist before engaging their services.
All interactions, communications, agreements, and transactions with Specialists.
Understanding and complying with applicable laws regarding the professional services they seek.

5.3 Contact Form and Lead Submission

When a Client submits a contact form ("Lead") through the Platform:

The Client's provided information (name, email, phone number, message) will be shared with the intended Specialist and, where applicable, with other relevant Specialists in the same area and category.
The Company does not guarantee that a Specialist will respond to any inquiry.
The Company does not monitor, mediate, or intervene in any communications between Clients and Specialists.

6. Limitation of Liability and Disclaimers

6.1 No Liability for Professional Services

THE COMPANY IS NOT A PROVIDER OF PROFESSIONAL SERVICES. We are a directory and communication platform only. We do not:

Employ, contract, supervise, or control any Specialist listed on the Platform.
Verify the accuracy, completeness, or truthfulness of any information provided by Specialists (whether self-reported or sourced from public registries).
Guarantee the quality, safety, legality, or suitability of any services provided by Specialists.
Endorse, recommend, or certify any Specialist.

6.2 Complete Disclaimer of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

(a) Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:

Your use of or inability to use the Platform.
Any professional services obtained or not obtained through the Platform.
Any interactions, communications, disputes, or transactions between Clients and Specialists.
Any injury, illness, death, property damage, emotional distress, or financial loss resulting from services provided by any Specialist found through the Platform.
Any errors, omissions, or inaccuracies in Specialist profiles, including profiles sourced from public registries.
Unauthorised access to or alteration of your data or transmissions.
Statements or conduct of any third party on the Platform.
Any failure of a Specialist to hold valid licences, insurance, or qualifications.
Any criminal, negligent, or wrongful act of any Specialist or Client.

(b) Any claim arising from or related to services provided by Specialists to Clients, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if the Company has been advised of the possibility of such damages.

6.3 Limitation Cap

In no event shall the Company's total aggregate liability to you for all claims arising from or related to these Terms or the Platform exceed the amount you have paid to the Company (if any) in the twelve (12) months preceding the claim, or fifty euros (€50), whichever is greater.

6.4 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

6.5 Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources. We are not responsible for the content, accuracy, availability, privacy practices, or any aspect of such third-party services. Your use of third-party services is at your own risk.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

Your use of the Platform.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Any services you provide or receive through the Platform.
Any dispute between you and any other user of the Platform.
Any content you submit, post, or transmit through the Platform.

8. Paid Services and Subscriptions

8.1 Pricing

Specialists may subscribe to paid plans (Pro, Premium) or purchase individual services (Featured Listing, Lead Unlock) as described on the Platform. All prices are displayed in the applicable currency and are exclusive of applicable taxes unless stated otherwise.

8.2 Billing and Payments

Payments are processed by Stripe, Inc. ("Stripe"). By making a payment, you agree to Stripe's terms of service. We do not store your payment card details.

Subscriptions are billed monthly and auto-renew unless cancelled. You may cancel at any time through the Stripe Customer Portal or by contacting us.

8.3 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at contact@localnative.space within 14 days.

8.4 Free Tier

Specialists on the free tier receive a limited number of lead contacts per month as described on the Platform. We reserve the right to modify free tier limits at any time.

9. Intellectual Property

9.1 Platform Content

All content on the Platform (excluding Specialist-provided content and publicly sourced data) — including design, layout, code, logos, trademarks, and text — is owned by the Company or its licensors and is protected by intellectual property laws.

9.2 Specialist Content

Specialists retain ownership of content they submit (articles, profile descriptions, photos). By submitting content, Specialists grant the Company a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute such content on the Platform for the purpose of providing the Service.

9.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform content without our prior written consent, except as expressly permitted by these Terms.

10. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose.
Submit false, misleading, or fraudulent information.
Impersonate any person or entity.
Harass, abuse, or harm any other user or Specialist.
Interfere with or disrupt the Platform's operation.
Use automated means (bots, scrapers) to access the Platform without our permission.
Attempt to gain unauthorised access to any part of the Platform.
Use the Platform to send spam, unsolicited communications, or advertising.
Circumvent any security measures or access restrictions.

11. Reviews and User-Generated Content

11.1 Review Guidelines

Clients may submit reviews of Specialists. Reviews must be:

Based on genuine personal experience with the Specialist.
Truthful, fair, and not defamatory.
Free of personal attacks, hate speech, or discriminatory language.
Not promotional or containing spam.

11.2 Moderation

We reserve the right to moderate, edit, or remove any review or user-generated content that violates these guidelines or these Terms, without notice.

11.3 No Liability for Reviews

We do not endorse or verify the accuracy of any review. Specialists may respond to reviews through the Provider Portal.

12. Dispute Resolution

12.1 Between Clients and Specialists

Any disputes arising between Clients and Specialists are solely between those parties. The Company is not a party to any agreement between Clients and Specialists and has no obligation to mediate, arbitrate, or resolve any such dispute.

12.2 With the Company

Any dispute arising from these Terms or your use of the Platform shall be governed by the laws of Ireland and subject to the exclusive jurisdiction of the courts of Dublin, Ireland, without regard to conflict of law principles.

For EU consumers: nothing in these Terms affects your statutory rights under mandatory consumer protection laws of your country of residence.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding your use of the Platform.
